These Terms of Service apply to the use of peterjfullagar.co.uk and to freelance editorial, writing, consultancy, training and related services provided by Peter J Fullagar (“I”, “me”, “my”).

1. About my services

I provide freelance services including, depending on the project:

  • editing and copyediting;
  • proofreading;
  • content development;
  • writing;
  • sensitivity and inclusivity reads;
  • consultancy;
  • content audits;
  • training and workshops; and
  • related editorial and English Language Teaching services.

The precise services provided will be agreed with each client before work begins.

2. Fees and acceptance

Before work begins, I will agree the scope of the work and the applicable fee or rate with the client.

Depending on the nature of the work, I may charge:

  • a fixed fee for an agreed project or piece of work;
  • an hourly rate for work carried out on a time basis; or
  • another pricing arrangement agreed with the client.

Where work is charged at an hourly rate, I will normally provide an indication of the expected amount of time required where this is reasonably possible. An indication of time is not a fixed fee unless expressly agreed as such.

An agreement comes into effect when the client accepts the agreed fee or rate and instructs me to proceed.

I may confirm the agreed fee or rate, scope of work and expected delivery date by email.

3. Payment

Unless otherwise agreed in writing:

  • invoices are payable within 30 days of the invoice date;
  • I may request a deposit or staged payments for larger projects;
  • additional work outside the agreed scope may be charged separately; and
  • I reserve the right to pause work where an invoice is overdue.

Where additional work is requested or the scope of a project changes, I will discuss any resulting additional fees or changes to the expected delivery date with the client before proceeding where reasonably possible.

4. Client responsibilities

The client agrees to:

  • provide accurate and complete information relevant to the project;
  • provide materials and instructions in a timely manner;
  • ensure that they have the necessary rights to provide material to me for editing or other work; and
  • review and approve work where approval is required.

Delays caused by late or incomplete information from the client may affect agreed deadlines.

5. Changes to agreed work

If the scope of a project changes after work has begun, I will discuss the change with the client.

Additional work may result in additional fees and/or a revised delivery date.

6. Cancellation

Either party may cancel a project in accordance with any cancellation terms agreed for that project.

If a client cancels after work has begun, I may charge for work already completed and for any other non-refundable costs reasonably incurred in connection with the project.

For longer or ongoing projects, specific cancellation arrangements may be agreed in writing.

7. Intellectual property

Unless otherwise agreed in writing:

  • copyright in original material supplied by the client remains with the client or the relevant rights holder;
  • the client is responsible for ensuring that material supplied to me may lawfully be used for the project;
  • copyright in original work created by me remains with me until any agreed transfer of rights takes effect; and
  • where appropriate, rights of use or copyright ownership will be specified in the agreement for the project.

Editing does not transfer copyright in the client’s underlying material to me.

8. Confidentiality

I will treat confidential information provided to me in connection with a project as confidential and will not disclose it to third parties except:

  • where necessary to provide the agreed service;
  • where I am legally required to disclose it; or
  • where the client has given permission.

I may retain appropriate records of work for legitimate business, administrative and legal purposes.

9. Accuracy and editorial judgement

I will carry out work with reasonable care and skill and in accordance with the agreed brief.

Editorial work involves professional judgement. Unless specifically agreed otherwise, I do not guarantee that an edited or proofread document will be completely free from every possible error.

Where I provide advice or recommendations, the client remains responsible for final decisions about publication, use and implementation.

10. Client materials and third-party content

I am not responsible for the accuracy, legality or ownership of materials supplied by a client.

Where a project includes third-party content, the client remains responsible for obtaining any permissions or licences required to use that content unless otherwise agreed.

11.Liability

I will provide my services with reasonable care and skill.

Nothing in these Terms limits or excludes any liability that cannot legally be limited or excluded.

Subject to this, I will not be liable for any indirect or consequential loss, loss of profit, loss of business or loss of opportunity arising from my services.

The client remains responsible for decisions made and actions taken based on editorial work, advice or recommendations I provide.
